1. Agreement Overview
These Terms of Service ("Terms") govern access to and use of the ZENZAI platform, software, APIs, integrations, and related services (collectively, the "Services") provided by ZENZAI ("ZENZAI", "we", "us", or "our").
By creating an account, executing an order form, or using the Services, you ("Customer", "you") agree to be bound by these Terms.
If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
2. Definitions
- "Customer" means the business entity using the Services.
- "Authorized Users" means Customer’s employees, contractors, or agents authorized to access the Services.
- "Customer Data" means data, content, messages, or information submitted to the Services by or on behalf of Customer.
- "Documentation" means ZENZAI’s user guides, technical documentation, and policies.
- "Order Form" means a written or electronic agreement specifying subscription terms.
3. Scope of Services
ZENZAI provides an AI-powered SaaS platform designed to automate business workflows including sales, customer support, and operational processes.
Specific features, usage limits, and service levels may vary based on the applicable subscription plan or Order Form.
4. License Grant
Subject to these Terms, ZENZAI grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for Customer’s internal business purposes during the subscription term.
No rights are granted except as expressly stated.
5. Authorized Users and Account Security
Customer is responsible for:
- Managing Authorized User access
- Maintaining confidentiality of credentials
- All activities conducted under its account
Customer must promptly notify ZENZAI of any unauthorized access or security breach.
6. Acceptable Use
Customer shall not:
- Reverse engineer, decompile, or attempt to extract source code
- Use the Services to violate laws or regulations
- Interfere with system integrity or security
- Use the Services to build or benchmark a competing product
- Upload malicious code or unlawful content
ZENZAI may suspend access for violations.
7. Customer Data and Data Protection
Customer retains all rights to Customer Data.
ZENZAI processes Customer Data solely to provide the Services and in accordance with the Data Processing Addendum (DPA), which forms part of these Terms.
Customer represents that it has obtained all necessary rights and consents to submit Customer Data.
8. Artificial Intelligence and Automated Processing
ZENZAI provides AI-driven functionality that may process Customer Data to generate outputs or automate workflows.
- AI outputs are generated based on Customer-provided inputs and configurations
- ZENZAI does not claim ownership of Customer Data or AI outputs
- Customer is responsible for reviewing and validating AI-generated outputs
- Customer Data is not used to train general-purpose AI models unless expressly agreed in writing
9. Fees and Payment
Customer agrees to pay all fees specified in the applicable Order Form.
Unless otherwise stated:
- Fees are non-refundable
- Payments are due in advance
- Late payments may result in suspension
Taxes are Customer’s responsibility unless otherwise required by law.
10. Intellectual Property Rights
ZENZAI retains all rights, title, and interest in:
- The Services
- Software, models, algorithms, and Documentation
- Aggregated and anonymized usage data
Customer retains ownership of Customer Data.
11. Confidentiality
Each party agrees to protect the other party’s confidential information and use it solely to perform obligations under these Terms.
Confidentiality obligations survive termination.
12. Service Availability and Support
ZENZAI will use commercially reasonable efforts to maintain availability.
Service levels, support response times, and maintenance windows may be defined in Documentation or an SLA, if applicable.
13. Warranties and Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
EXCEPT AS EXPRESSLY STATED, ZENZAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated outputs are probabilistic and may contain inaccuracies.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ZENZAI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- ZENZAI’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
15. Indemnification
Customer agrees to indemnify and hold harmless ZENZAI from claims arising out of:
- Customer Data
- Unauthorized use of the Services
- Violation of laws or these Terms
16. Term and Termination
These Terms remain effective during the subscription term.
ZENZAI may suspend or terminate access for:
- Material breach
- Non-payment
- Legal or security risk
Upon termination, access to the Services will cease and Customer Data will be handled per the DPA.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws specified in the applicable Order Form or, if none, the laws of [Insert Jurisdiction].
Disputes may be resolved through binding arbitration unless prohibited by law.
18. Changes to Terms
ZENZAI may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.
